• Using the Services to engage in, facilitate, or promote any activity that violates applicable federal, state, or local law, including but not limited to the Computer Fraud and Abuse Act (18 U.S.C. § 1030), the Electronic Communications Privacy Act (18 U.S.C. § 2510 et seq.), and applicable state cybercrime statutes.
• Downloading, uploading, transmitting, or distributing child sexual abuse material (CSAM) or any content that sexually exploits minors.
• Engaging in cyber attacks, hacking, unauthorized access to computer systems, distributed denial-of-service (DDoS) attacks, or similar malicious activities.
• Distributing malware, ransomware, spyware, viruses, Trojan horses, or other malicious code.
• Engaging in fraud, identity theft, phishing, or other deceptive practices.
• Facilitating or participating in terrorism, violent extremism, or activities that promote or incite violence or hatred.
• Violating intellectual property laws, including but not limited to the Digital Millennium Copyright Act (DMCA, 17 U.S.C. § 512).
• Engaging in illegal gambling, drug trafficking, human trafficking, or other criminal enterprises.

4.2 Technical Prohibited Uses

• Attempting to circumvent, disable, or interfere with any security features, access controls, or technical measures of the Services.
• Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of our software or Services.
• Using automated scripts, bots, crawlers, or other automated means to access, scrape, or interact with the Services without our express written permission.
• Sharing, selling, reselling, sublicensing, or otherwise transferring your account credentials or subscription to any third party without our prior written consent.
• Using the Services to send unsolicited commercial communications (spam) or engage in mass marketing activities.

4.3 Content Restrictions

5. Intellectual Property Rights

5.1 Ownership of Services

9.2 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NORDSHIELDVPN'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO NORDSHIELDVPN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

9.3 Basis of Bargain

The limitations of liability set forth in this Section reflect a reasonable allocation of risk between the parties and form an essential basis of the bargain between you and NordShieldVPN. These limitations shall apply even if any limited remedy is found to have failed its essential purpose.

9.4 Jurisdictional Variations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. If you reside in such a jurisdiction, some of the above limitations may not apply to you to the extent prohibited by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless NordShieldVPN and its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and service providers (collectively, "Indemnified Parties") from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your use of or access to the Services, including any data transmitted through the Services.
• Your violation of these Terms or any applicable law or regulation.
• Your violation of any third party's rights, including intellectual property, privacy, or proprietary rights.
• Any content, data, or activity associated with your account.
• Any misrepresentation made by you in connection with your use of the Services.
• Any dispute between you and any third party related to your use of the Services.

NordShieldVPN reserves the right to assume exclusive control and defense of any matter subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defenses. This indemnification obligation survives the termination of these Terms and your use of the Services.

11. Term and Termination

11.1 Term

These Terms take effect when you first accept them or begin using the Services and continue in full force and effect until terminated in accordance with this Section.

11.2 Termination by User

You may terminate your account and these Terms at any time by canceling your subscription through your account settings or by contacting us at [email protected]. Termination will take effect at the end of your current billing period unless you request immediate termination.

11.3 Termination by NordShieldVPN

NordShieldVPN reserves the right to suspend, limit, or terminate your access to the Services, with or without notice, for any reason, including but not limited to:

• Your breach of these Terms or any applicable law.
• Fraudulent, abusive, or illegal activity associated with your account.
• Non-payment of applicable subscription fees.
• Extended periods of account inactivity.
• Our decision to discontinue the Services or any portion thereof.
• Requests from law enforcement or government authorities.

11.4 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. We may delete your account data in accordance with our Privacy Policy and applicable data retention obligations. Sections of these Terms that by their nature should survive termination shall continue to apply, including but not limited to Sections 5 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), 12 (Governing Law), and 13 (Dispute Resolution).

12. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without regard to conflicts of law principles that would require the application of the laws of any other jurisdiction.

For matters not resolved through arbitration (as described in Section 13), you and NordShieldVPN consent to the exclusive jurisdiction of the federal and state courts of the United States for the resolution of any disputes. You waive any objection to the exercise of personal jurisdiction or venue in such courts.

Nothing in these Terms shall limit NordShieldVPN's right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of our intellectual property rights or confidential information.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact NordShieldVPN at [email protected] and attempt to resolve any dispute informally. We will use commercially reasonable efforts to resolve the dispute within thirty (30) days of receipt of your notice. If the dispute is not resolved within this period, either party may proceed with formal dispute resolution as described below.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except as provided in Section 13.4 (Small Claims and Injunctive Relief), any dispute, controversy, or claim arising out of or relating to these Terms, the Services, or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules then in effect, which are incorporated herein by reference. The arbitration shall be conducted in English and the award rendered by the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND NORDSHIELDVPN EXPRESSLY WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTIONS, OR ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR TO PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

13.4 Small Claims and Injunctive Relief

Notwithstanding the foregoing, either party may bring an individual action in small claims court where the dispute falls within that court's jurisdiction. Additionally, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to preserve the status quo pending arbitration.

13.5 Arbitration Costs

Payment of all filing, administration, and arbitrator fees shall be governed by the AAA's Consumer Arbitration Rules. If your claim does not exceed $10,000 USD, NordShieldVPN will pay for all AAA filing and arbitration fees unless the arbitrator determines the claim is frivolous or brought in bad faith.

14. Changes to Terms

NordShieldVPN reserves the right to modify, update, or revise these Terms at any time at our sole discretion. We will provide notice of material changes by:

• Posting the updated Terms on our website at aggree.digital with a revised "Last Updated" date.
• Sending an email notification to the email address associated with your account.
• Displaying a prominent notice within the Services or your account dashboard.

Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services and cancel your subscription before the effective date of the changes. 15. Severability

No waiver by NordShieldVPN of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of NordShieldVPN to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

16.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without NordShieldVPN's prior written consent. NordShieldVPN may freely assign or transfer these Terms and its rights and obligations hereunder without restriction, including in connection with a merger, acquisition, or sale of all or substantially all of our assets.

17. Force Majeure

NordShieldVPN shall not be liable for any failure or delay in the performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond NordShieldVPN's reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, wars, terrorist attacks, civil unrest, government actions, regulatory changes, labor disputes, internet service disruptions, cyberattacks against our infrastructure, power failures, or telecommunications failures. NordShieldVPN will use commercially reasonable efforts to resume performance as soon as practicable after the force majeure event ceases.

18. Third-Party Services and Links

The Services may contain links to or integrate with third-party websites, applications, or services ("Third-Party Services"). NordShieldVPN does not endorse, control, or assume any responsibility for the content, privacy policies, or practices of any Third-Party Services. 19. U.S. Export Controls and International Use

The Services may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce and the sanctions regulations administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC). You agree that you will not use, export, re-export, or transfer the Services to any country, individual, or entity in violation of applicable U.S. export control or sanctions laws.
